Terms of Service

Last updated October 2, 2026

The short version: you get 30 days free, you can cancel whenever you like, your data stays yours, and the sales you make through your portal are between you and your buyers. The details are below, in plain words.

1. Who this is between

These terms are the agreement between Romio Group LLC (“Yardsheet”, “we”), based in Niagara, Ontario, Canada, and the nursery or business that opens an account (“you”). If you open the account for a business, you confirm you are allowed to agree to these terms for it.

Buyers who order through a nursery's portal are that nursery's customers. Sections 6 and 7 apply to them too.

2. Your account

Give us accurate details, keep your password to yourself, and tell us at hello@yardsheet.com if you think someone else has got into your account. You are responsible for what your staff and the buyers you invite do in your account.

3. The free period, plans and payment

Every new nursery gets its first 30 days free, with no card up front. To keep going after that, an admin picks a plan on the Billing page. If nobody does, the account locks after a short grace period and you owe nothing.

Plans and prices are the ones shown on our pricing when you subscribe. Prices in USD. Tax extra where it applies. You can pay yearly or month to month. Payments are taken by our payment processor, Stripe; we never see or store your full card number.

A subscription renews automatically at the end of each period (each month, or each year) until you cancel. You can cancel at any time from the Billing page: you keep the plan until the end of the period you have already paid for, and you are not charged again. If you add a card during the free period and cancel before the first invoice, you owe nothing.

Payments already made are not refunded, except where the law requires it. If we change a price, we will tell you by email at least 30 days before it applies to you, and it will only apply from your next renewal.

4. Your data is yours

Your plant list, prices, buyers, orders and everything else you put into Yardsheet belong to you. We use them only to run the service for you, as described in our Privacy Policy. You can export your availability, prices and reports from the app.

If you close your account, email hello@yardsheet.com and we will delete your nursery's data, apart from records we have to keep by law (for example, invoices).

5. You and your buyers

You decide which buyers to invite and what they see. You are responsible for having the right to email the buyers you add, and for your own prices, stock counts, taxes and terms of sale.

An order placed through your portal is a sale between you and your buyer. Yardsheet is not a party to it, does not take payment for plants, and is not responsible for the plants, their delivery, or whether a buyer pays you.

Availability emails you send from Yardsheet include an unsubscribe link. Buyers who unsubscribe stop getting those emails; order and account emails still go out.

6. Fair use

When you use Yardsheet, you agree not to:

  • break the law, or send spam or misleading email through it;
  • try to see another nursery's or another buyer's data;
  • copy, resell or reverse-engineer the service;
  • overload it, probe it for weaknesses, or pull data out of it with automated tools other than the exports we provide.

7. Features that read or write for you

Some features use AI to save you typing: the built-in helper, the importer that reads a spreadsheet or PDF, and the reader that drafts an order from a fax, PDF or pasted email. They can get things wrong. Nothing they produce takes effect until a person checks it: you review an import before it is saved, and you approve a drafted order before it is placed. Checking is your responsibility.

8. Keeping it running

We work hard to keep Yardsheet available and your counts right, and we will fix problems as quickly as we can. But the service is provided as it is: we do not promise it will never be interrupted or free of errors, and we may change or retire features over time.

9. Limits on what we owe you

As far as the law allows, Yardsheet is not liable for indirect losses such as lost profit, lost sales, or lost business, including losses from stock that was oversold or an order that went wrong. Our total liability to you for anything connected with the service is limited to what you paid us in the 12 months before the claim.

Nothing in these terms limits rights the law says cannot be limited.

10. Suspending or ending the account

You can stop using Yardsheet at any time. We may suspend or close an account that is not paid for, breaks these terms, or puts other users at risk. Where we reasonably can, we will warn you first and give you a chance to fix it.

11. Changes to these terms

If we make a change that matters, we will tell you by email or in the app before it takes effect. If you keep using Yardsheet after that, the new terms apply.

12. The law that applies

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario.
